If a Mandatory Registration Statement is not filed on or prior to the Mandatory Filing Date, then the Company shall pay to the Holder an amount in cash, as partial liquidated damages and not as a penalty, equal to two percent (2%) of the gross proceeds paid by the Holder for the Shares (the “Filing Default Damages”).
