• The Company shall use its best efforts to cause the Mandatory Registration Statement to become effective, no later than one hundred twenty (120) days after the Mandatory Filing Date, (the “Mandatory Effectiveness Date”) and remain effective as provided herein.

Mandatory Filing Date means the Closing Date and each Deferred Consideration Payment Date occurring prior to the six-month anniversary of the date hereof on which Purchaser makes a Deferred Stock Payment to Seller.
