Mandatory Principal Repayment Amount definition

Mandatory Principal Repayment Amount shall have the meaning given to it in Section 2.1(d) hereof.
Mandatory Principal Repayment Amount. All Revolving Loans hereunder shall be repaid by Borrower on or before the Revolving Loan Maturity Date, unless payable sooner pursuant to the provisions of this Agreement. In the event the aggregate outstanding principal balance of all Revolving Loans hereunder exceed the Revolving Loan Availability, Borrower shall, upon notice or demand from Lender, immediately make such repayments of the Revolving Loans or take such other actions as shall be necessary to eliminate such excess.
Mandatory Principal Repayment Amount. Lender shall apply funds received into the Lock Box Account in accordance with Section 2.1(e) below.

More Definitions of Mandatory Principal Repayment Amount

Mandatory Principal Repayment Amount means the portion of each Senior Toggle Loan that must be required to be repaid to prevent such Senior Toggle Loans from being treated as an “applicable high yield discount obligation” within the meaning of Section 163(i)(1) of the Code. No partial repayment of the Senior Toggle Loans prior to the AHYDO Repayment Date pursuant to any other provision of this Agreement will alter the Borrower’s obligation to make the Mandatory Principal Repayment with respect to any Senior Toggle Loans that remain outstanding on the AHYDO Repayment Date.
Mandatory Principal Repayment Amount shall be inserted as follows in Section 1.1, in the appropriate alphabetical order, and each subsequent definition contained in Section 1.1 shall be renumbered accordingly:

  • Mandatory Prepayment Amount for any Debentures shall equal the sum of (i) the greater of: (A) 130% of the principal amount of Debentures to be prepaid, plus all accrued and unpaid interest thereon, or (B) the principal amount of Debentures to be prepaid, plus all other accrued and unpaid interest hereon, divided by the Conversion Price on (x) the date the Mandatory Prepayment Amount is demanded or otherwise due or (y) the date the Mandatory Prepayment Amount is paid in full, whichever is less, multiplied by the VWAP on (x) the date the Mandatory Prepayment Amount is demanded or otherwise due or (y) the date the Mandatory Prepayment Amount is paid in full, whichever is greater, and (ii) all other amounts, costs, expenses and liquidated damages due in respect of such Debentures.

With respect to any Mortgage Pool that is comprised of two or more Loan Groups, the Excess Subordinate Principal Amount will be allocated between each Loan Group on a pro rata basis in accordance with the amount of Realized Losses attributable to each Loan Group and allocated to the Certificates on such Distribution Date.
