Manufacturing Package means all Information and instructions necessary to enable a third party to manufacture the Product if permitted pursuant to this Agreement.

  • VENDOR agrees to update the "Manufacturing Package" as necessary to keep the package current with the latest version of the Products delivered to GTECH under this Agreement.

  • Notwithstanding the foregoing, if Supplier is unable to supply Buyer’s requirements two (2) or more times during a ninety (90) day period, then Buyer shall have the right to require qualification of a second manufacturer, of Buyer’s choice, to manufacture the Product for Buyer by using the Manufacturing Package.

  • Upon termination of this Agreement, unless the manufacturing license is renewed under terms mutually agreed to in writing by the parties, Intel shall immediately return all copies of the Manufacturing Package to Novatel Wireless or certify in writing that it all such copies have been destroyed, including any copies in the possession of Intel Manufacturers.

  • Further, Novatel Wireless represents and warrant that it has not, as of the Effective Date, received any notice from a third party alleging that any of the Products, Product Software, the Design Package or the Manufacturing Package, respectively, infringe or violate any Intellectual Property Rights of such third party.

Related to Manufacturing Package

  • Manufacturing Materials means parts, tools, dies, jigs, fixtures, plans, drawings, and information produced or acquired, or rights acquired, specifically to fulfill obligations set forth herein.

  • Manufacturing Know-How means, with respect to the Product or any Variant thereof, the technology, data, designs, processes, methods, specifications and other know-how used in connection with the formulation, manufacture, labeling, packaging, quality control, release testing, and production of the Product, and all ingredients used therein and portions thereof.

  • Training Materials means any and all materials, documentation, notebooks, forms, diagrams, manuals and other written materials and tangible objects, describing how to maintain the Facilities, including any corrections, improvements and enhancements thereto to the Bloom Systems which are delivered by Operator to Owner, but excluding any data and reports delivered to Owner.

  • Batch means a specific quantity of Product that is intended to have uniform character and quality, within specified limits, and is produced according to a single manufacturing order during the same cycle of manufacture.
