Marketing Inventory definition

Marketing Inventory means the physical inventory of the printed materials used in the ordinary course of business to market the Products as of the Effective Time, which physical inventory is assigned to Aptevo as part of the Distribution.
Marketing Inventory has the meaning specified in Section 6.4.2.
Marketing Inventory means all refined Petroleum Products in bulk storage owned by Seller on each Marketing Site and all branded lubricants, tires, batteries, accessories and or other products owned by Seller and held for resale. "MERCHANDISE" means all merchandise owned by Seller and held for resale in the stores on the Marketing Sites, including currency and coins on hand in the cash registers at the Marketing Sites (other than checks and charge card tickets) at the Closing Date, but excluding Marketing Inventory. The quantities of the Marketing Inventory and Merchandise to be sold and transferred to Purchaser as of the Closing Date shall be as reported in accordance with Seller's standard reporting practices in the PDI database with respect to each Marketing Site as of the close of business on the Closing Date. The price to be paid for the Marketing Inventory and Merchandise (the "MARKETING INVENTORY PRICE") shall be calculated in accordance with the "Marketing Inventory Valuation Protocol" as set forth in Attachment 9. At the Closing, Seller shall transfer title and custody of the Marketing Inventory and Merchandise to Purchaser and Purchaser will accept the Marketing Inventory and Merchandise and pay the Marketing Inventory Price to Seller, as provided in Section 3.2.4.

Examples of Marketing Inventory in a sentence

  • Upon any expiration of this Agreement, termination of this Agreement in its entirety, or termination of this Agreement with respect to any Licensed ▇▇▇▇ or Product, Aptevo shall destroy all remaining Packaging Inventory and Marketing Inventory as applicable to the terminated Licensed ▇▇▇▇ or Product.

  • In no event may Aptevo, any member of the Aptevo Group or any sublicensee hereunder copy, use or distribute any product or material containing any Licensed ▇▇▇▇ or any other Trademark of Emergent or any member of the Emergent Group except the distribution of the Packaging Inventory, Packaging Materials or Marketing Inventory in accordance with this Agreement and in accordance with all applicable Law.

  • Aptevo shall use commercially reasonable efforts to use or destroy the Packaging Inventory and the Marketing Inventory before distributing any other Packaging Materials or Marketing Materials, provided that, on a Product-by-Product basis, Aptevo shall cease to distribute the Marketing Inventory and shall destroy all remaining Marketing Inventory in Aptevo’s possession on the ninetieth (90th) day after the first external use of any other Marketing Materials anywhere in the Territory.

  • The price to be paid for the Marketing Inventory and Merchandise (the "MARKETING INVENTORY PRICE") shall be calculated in accordance with the "Marketing Inventory Valuation Protocol" as set forth in Attachment 9.

  • Purchaser shall provide to Seller at the Closing a Resale Exemption certificate regarding the Refinery Inventory and Marketing Inventory.

  • At the Closing, Seller shall transfer title and custody of the Marketing Inventory and Merchandise to Purchaser and Purchaser will accept the Marketing Inventory and Merchandise and pay the Marketing Inventory Price to Seller, as provided in Section 3.2.4.

  • The quantities of the Marketing Inventory and Merchandise to be sold and transferred to Purchaser as of the Closing Date shall be as reported in accordance with Seller's standard reporting practices in the PDI database with respect to each Marketing Site as of the close of business on the Closing Date.
