Each of that certain Master Assignment and Acceptance Agreement dated as of the date hereof with respect to the Credit Agreement and that certain Commitment Reduction Letter dated as of the date hereof with respect to the Credit Agreement shall have been fully executed and delivered, and all of the conditions precedent set forth therein shall have been satisfied in full.

ANNEX II [See Attached] This Master Assignment and Acceptance Agreement (the “Master Assignment”) is dated as of the Effective Date set forth below and is entered into between the Assignor named below (the “Assignor”) and the Assignee named below (the “Assignee”).
The Agent shall have received a fully executed Master Assignment and Acceptance Agreement evidencing the transfer of the right, title and interest of each Lender under the 2009 Credit Agreement to the Lenders party hereto (along with any conditions precedent to the effectiveness thereof).
