Master GDR definition

Master GDR means the Regulation S Master GDR, the Rule 144A Master GDR, and any temporary master GDR which may represent GDRs issued pursuant to the Deposit Agreement from time to time, and "Master GDRs" means all of them;
Master GDR means the Master GDR issued substantially in the form set out in Schedule 2 to the Deposit Agreement, as the same may be amended from time to time pursuant to the Deposit Agreement;
Master GDR means the Receipt registered in the name of the nominee of The Depository Trust Company, evidencing all Book-Entry GDSs, as provided by Section 2.01 of this Deposit Agreement.

  • The Company hereby appoints the Depositary as its agent to take all such actions as are necessary in order to effect acceptance of the Rule 144A Master GDR by DTC.

  • The Bank of New York or such other entity as is agreed with DTC may hold the Master GDR as custodian for DTC.

  • Upon the issue of any certificate in definitive registered form, the Depositary shall make appropriate entries in the Register to show the issue of such certificates in definitive registered form and the decrease in the number of GDRs represented by the relevant Master GDR and shall notify DTC or Clearstream and Euroclear, as the case may be, of such decrease.

  • In any such case the Depositary may, with the Company's approval, and shall, at the Company's request, execute and deliver additional GDRs to Holders of Physical GDSs and make appropriate adjustments in its records on behalf of Holders of GDSs in the Master GDR, as in the case of a stock dividend, bonus issue or other free distribution in Shares, or call for the surrender of outstanding GDRs to be exchanged for new GDRs specifically describing such new Deposited Securities.

  • Any free distribution or rights issue of Shares to the Depositary on behalf of the Holders will result in the records of the Depositary being adjusted to reflect the enlarged number of GDRs represented by this Regulation S Master GDR.
