Material Business Terms definition

Material Business Terms shall include, without limitation, the identity of tenant and any guarantor, the demised premises, the security deposit, the rent (including base or fixed annual rent, escalation rent for operating costs, real estate taxes, and cost of living adjustments, other rent calculated on the basis of any index, and rent based on sales or receipts of the tenant), the commencement date and term, renewal options, expansion options, rights of first refusal, work allowances, work to be performed by the Owner for the tenant, rent-free periods, credits against rent, other expenses to be incurred by Owner in respect of the Space Lease, assignment and sublet rights, termination rights, and electricity charges. Execution of any approved Space Lease, amendment, renewal or extension by Owner or Asset Manager for Owner shall be deemed to be Owner’s consent to any work specifically provided in such Space Lease to be performed by Owner as landlord.

  • In the event that the Material Business Terms are provided to Lender in accordance with the first sentence of this subsection (g) and Lender fails to approve, disapprove or request more information with respect to the Material Business Terms within the applicable time, then Lend▇▇’▇ ▇pproval shall be deemed given in accordance with this Section.

  • Substantial business relationship means the extent of a business relationship necessary under applicable state law to make a guarantee contract issued incident to that relationship valid and enforceable. A guarantee contract is issued "incident to that relationship" if it arises from and depends on existing economic transactions between the guarantor and the owner or operator.

Local Business shall also mean any state or nationally certified minority-owned, women-owned, or disabled veteran business that has performed work for the District or other public agency within the zip codes listed above for Local Hire during the past four years. Certification for a disabled veteran business must be provided to the District. Local Business shall also mean a business that participates in an internship program that is currently approved or recognized by the District. The entity may also apply to obtain District approval of its internship program. The internship program must be approved by the District and must be completed by the end of the specific Public Project or by the next semester immediately after completion of the specific Public Project. Local Business shall also mean any entity that uses apprentices from a District approved apprenticeship program.

  • Significant business transaction means any business transaction or series of transactions that, during any one fiscal year, exceeds the lesser of $25,000 or 5 percent of the total operating expense of a provider.

  • Initial Business Plan means the business plan to be provided by the Franchisee to the Secretary of State as described in paragraph 2.1 of Schedule 13 (Information and Industry Initiatives);
