In addition, Target is not currently in breach or default under, and has not terminated, any agreement with any dealer or manufacturer which accounted for revenues to Target in excess of $25,000 for the fiscal year ended December 31, 2003 (“Material Dealer Contract”) and, to Target’s knowledge, no counter-party to any Material Dealer Contract (a) is currently in breach or default under, or (b) has terminated or delivered notice of termination to Target of, such Material Dealer Contract.
Except as set forth on Schedule 2.22, since January 1, 2024, (A) no Material Dealer has ceased, terminated or otherwise adversely modified in any material respect its business relationship with the Company and (B) the Company has not received any communication indicating (and the Company otherwise has no reason to believe) that any Material Dealer intends to cease, terminate or adversely modify in any material respect its business relationship with the Company.
