Material Owned Intellectual Property definition

Material Owned Intellectual Property shall have the meaning assigned to such term in Section 5.17.
Material Owned Intellectual Property means (i) the Specified Owned Intellectual Property and (ii) any material Owned Intellectual Property, in all instances, for which applications or registrations have been filed or issued with the appropriate Governmental Entity.

  • All issuance, renewal, maintenance and other payments that are or have become due as of the date hereof with respect to the Material Owned Intellectual Property have been timely paid by or on behalf of Seller.

  • All assignments to the Company or any of its Subsidiaries of (A) Patents; (B) registered Trademarks; and (C) registered Copyrights included in the Material Owned Intellectual Property (“Company Registrations”) have been properly executed and recorded.

  • Foreground Intellectual Property means all Intellectual Property developed by either Party pursuant to this Agreement;

  • Background Intellectual Property Rights means Intellectual Property Rights owned, controlled or furnished by either Party other than Foreground Intellectual Property Rights.

  • Other Intellectual Property means all trade secrets, ideas, concepts, methods, techniques, processes, proprietary information, technology, know-how, formulae, rights of publicity and privacy and other general intangibles of like nature, now or hereafter acquired, owned, developed or used by any Grantor.

  • Parent Intellectual Property means any Intellectual Property that is owned by, or exclusively licensed to, Parent.
