Material Rights definition

Material Rights shall have the meaning specified in paragraph 8P.
Material Rights is defined in paragraph 8O.
Material Rights means all material franchises, certificates, affiliation agreements, licenses, approvals, registrations, development and other permits and authorizations, and easements, rights of way and similar rights from governmental or political subdivisions, regulatory authorities or other Persons.

  • No event has occurred which permits, or after notice or lapse of time or both would permit, the revocation or termination of any such Material Rights, or which materially and adversely affects the rights of the Company or its Subsidiaries thereunder.

  • Accordingly, the Members and the Manager agree that an injunction is an appropriate remedy to prevent violation of ArchCo’s Material Rights under this Section 9.1(e) with respect to any Ownership Restructuring and ArchCo shall be entitled to seek entry of such an injunction in the Courts of New York as provided in Article 17 below.
