Material Tax Liability definition
Material Tax Liability means an individual liability to Tax or series of liabilities to Tax (potentially arising from a series of matters the Sellers would otherwise be obliged to carry out to eliminate P7S1 Receivables and/or P7S1 Payables) which exceeds EUR 500,000.00 (in words: five hundred thousand euros) and “Post-Signing Notification” shall have the meaning given in Section 12.13(c)a.
Material Tax Liability means any liability for Taxes individually or in the aggregate that exceeds $50,000.
