Materially Changed definition

Materially Changed means the occurrence of one or more of the following events:
Materially Changed means: Any change in the type of coverage, any change in the amount of coverage, or any change in the names of the parties with an insurable interest in the insurance coverage. If the insurance carrier is unwilling to issue such endorsement, Lender will accept, in writing, the insurance agent’s willingness to provide such notification requirement to Lender. THE PROJECT OWNER, GENERAL CONTRACTOR, PROPERTY MANAGER AND/OR ARCHITECT MUST PROVIDE EVIDENCE OF THE FOLLOWING INSURANCE COVERAGE, AS APPLICABLE:
Materially Changed means any alteration, modification or replacement made to the existing Facilities that increases the load on the pole or could adversely affect the distribution system.

Examples of Materially Changed in a sentence

  • If Buyer disapproves the Materially Changed Condition (as determined in Buyer's reasonable discretion), Buyer may terminate this Agreement.

  • If Buyer does not elect to terminate this Agreement and elects to consummate its acquisition of the Property, it shall be deemed to have (i) waived any claim regarding the Materially Changed Condition, (ii) accepted title to and possession of the Property subject to the Materially Changed Condition and (iii) amended this Agreement to reflect the Materially Changed Condition.

  • Upon the addition of such additional parties, (i) Exhibit A to this Agreement shall be automatically amended so as to incorporate such additional parties as Holders hereunder and (ii) notice of such additional parties shall be given by the Company to the Holders pursuant to Section 3 hereof.

  • Subject ----------------------------------------- to Seller's right to deliver its notice to Buyer of a Materially Changed Condition as set forth in Paragraph 13(g) above, the representations and warranties of Seller set forth in this Agreement shall be deemed to be remade and restated by Seller in a certificate on and as of the Close of Escrow.

  • If Seller notifies Buyer of any Materially Changed Condition, Buyer shall have two (2) business days following receipt of written notice from Seller of such condition to review the events and circumstances giving rise to such condition.

  • The obligation of the Company to consummate any of the foregoing capitalization and/or formation activities shall, in each case, be subject to the completion of the Initial Capitalization in a manner that is not a Materially Changed Initial Capitalization adverse to the interests of the Company.

  • Any Materially Changed Approvable Element to which Marvel does not deliver a Disapproval Notice to SPE within the applicable Approval Period following Marvel's first receipt or viewing of the material containing the Materially Changed Approvable Element, time being of the essence, shall be deemed to be approved by Marvel.

  • Notwithstanding the foregoing, if such Materially Changed Condition results or arises from a breach by Seller of this Agreement, Purchaser shall have all rights and remedies provided under Section 10.3 below.

Materially Changed means any change that would cause the Borrower to be in non-compliance with the insurance requirements of this Schedule 5.17 or a reduction in coverage as compared to what was previously insured by the Borrower.

Related to Materially Changed

  • Materially Impair means any amendment to the terms of the Award that materially adversely affects the Participant’s rights under the Award. A Participant’s rights under an Award will not be deemed to have been Materially Impaired by any such amendment if the Board, in its sole discretion, determines that the amendment, taken as a whole, does not materially impair the Participant’s rights. For example, the following types of amendments to the terms of an Award do not Materially Impair the Participant’s rights under the Award: (i) imposition of reasonable restrictions on the minimum number of shares subject to an Option that may be exercised, (ii) to maintain the qualified status of the Award as an Incentive Stock Option under Section 422 of the Code; (iii) to change the terms of an Incentive Stock Option in a manner that disqualifies, impairs or otherwise affects the qualified status of the Award as an Incentive Stock Option under Section 422 of the Code; (iv) to clarify the manner of exemption from, or to bring the Award into compliance with or qualify it for an exemption from, Section 409A; or (v) to comply with other Applicable Laws.

  • Materially Damaged means damage which, in Seller’s reasonable estimation, exceeds $500,000.00 to repair or which, in Seller’s reasonable estimation, will take longer than ninety (90) days to repair.

  • materially shall, when used in this Agreement, be construed, measured or assessed on the basis of whether the matter would materially affect a party and its subsidiaries, taken as a whole; and

  • Deteriorated paint means any interior or exterior paint or other coating that is peeling, chipping, chalking or cracking, or any paint or coating located on an interior or exterior surface or fixture that is otherwise damaged or separated from the substrate.

  • Noncomplying structure means a structure that:

  • Materially Adverse Effect means (a) any material adverse effect upon the business, assets, liabilities, financial condition or results of operations of the Borrower and its Subsidiaries, taken as a whole, or (b) a material adverse effect upon any material rights or benefits of the Lenders or the Administrative Agent under the Loan Documents.

  • Climate Change Levy or “CCL” means the tax referred to in schedule 6 of the Finance Act 2000;

  • Occupied structure means any building, vehicle, or other place suitable for human occupancy or

  • Section 502(b)(10) changes means changes that contravene an express permit term or condition. Such changes do not include changes that would violate applicable requirements or contravene federally enforceable permit terms and conditions that are monitoring (including test methods), recordkeeping, reporting, or compliance certification requirements.

  • Biologically-based mental illness means schizophrenia, schizoaffective disorder, major depressive disorder, bipolar disorder, paranoia and other psychotic disorders, obsessive-compulsive disorder, and panic disorder, as these terms are defined in the most recent edition of the diagnostic and statistical manual of mental disorders published by the American Psychiatric Association.

  • Changes The Detail Specification will be revised to include: (i) Changes applicable to the basic Model 787 aircraft which are developed by Boeing between the date of the Detail Specification and the signing of the definitive agreement to purchase the Option Aircraft; (ii) Changes required to obtain required regulatory certificates; and (iii) Changes mutually agreed upon.

  • Serious Mental Illness . means the following mental disorders as classi­

  • DWP Offshoring Policy means the Authority’s policy and procedures as advised to the Contractor by the Authority from time to time.
