Materially Interested means employed or engaged by or concerned or interested in (whether directly or indirectly) other than as a shareholder holding directly or indirectly by way of investment of up to 3% in nominal value of the issued shares or other securities of any class of any company listed or dealt in on any Recognised Investment Exchange;
