Except as otherwise provided in Section 11.10, this Agreement, any terms and policies incorporated herein by reference, and each Order constitute the complete agreement between Matterport and You concerning Your access to and use of the Services, Matterport Technology and Documentation, and supersede any and all prior discussions, negotiations, agreements and representations between Matterport and You related to the same subject matter.
All rights in the Services and Matterport Technology not expressly granted to You are reserved by Matterport.
Matterport and its licensors shall own and retain all right, title and interest (including all copyright, patent rights, and other intellectual property rights) in and to the Services and all Matterport Technology.
As between Customer and Matterport, (a) Matterport owns all right, title, and interest, including all Intellectual Property Rights, in and to the Matterport Technology; and (b) Customer owns all right, title, and interest, including all Intellectual Property Rights, in and to the Customer Data.
Matterport will cease to have any obligation following the termination or expiry of Customer’s Platform Subscription to provide to Customer: (a) any Matterport Technology (including, without limitation, any technology used to display any Matterport Space); or (b) access to the Platform for the purpose of exporting Matterport Digital Assets.
In the event You display any trademark, logo, service mark, trade name or other branding on any page on which You display any Customer Content or in any other place where You promote the use of Customer Content or the Services, You shall not do so in a manner that implies, or reasonably could imply, that any portion of the Services or other Matterport Technology used to generate or provide any Customer Content is owned by You or any third party.
Nothing in this Agreement is intended by the Parties to constitute a sale of the Services or Matterport Technology, or any derivatives thereof.
