Maximum Authorized Amount definition

Maximum Authorized Amount means, on any date, (A) the number of authorized shares of Common Stock under the Certificate of Incorporation that have not been issued as of such date less (B) all of the shares of Common Stock underlying all of the then outstanding options, warrants and convertible securities of the Corporation, other than the Series A-1 Preferred Stock and the Series B Preferred Stock.
Maximum Authorized Amount means Tenant's total liability under and as provided for in the Authorization Letter, less interest accruing on that amount under the Real Estate Note.
Maximum Authorized Amount shall have the meaning assigned thereto in the Recitals.
