Maximum Investment Amount definition

Maximum Investment Amount means, on the Closing Date and any Measurement Date prior to the Effective Date, an amount equal to the Effective Date Target Par Amount, and, on and after the Effective Date, an amount equal to the sum (without duplication) of (i) the Aggregate Principal Balance of the Underlying Assets, (ii) the aggregate amount of any Principal Proceeds invested in Eligible Investments (other than Eligible Investments in the Variable Funding Account and the Expense Reserve Account), and (iii) any remaining Unused Proceeds, in each case, on such Measurement Date.

Maximum Investment Amount means, on the Closing Date and any Measurement Date prior to the Effective Date, an amount equal to the Effective Date Target Par Amount, and, on and after the Effective Date, an amount equal to the sum (without duplication) of (i) the Aggregate Principal Balance of the Underlying Assets, (ii) the aggregate amount of any Principal Proceeds invested in Eligible Investments (other than Eligible Investments in the Variable Funding Account and the Expense Reserve Account), and (iii) any remaining Unused Proceeds, in each case, on such Measurement Date; provided, that solely for purpose of calculating the Senior Asset Management Fee and the Subordinated Asset Management Fee that is payable on any Payment Date occurring after (x) an Optional Redemption of the Secured Notes or (y) a reduction in the Outstanding balance of any Class of Secured Notes occurring after the Reinvestment Period due to the operation of the Priority of Payments (an "Amortization Payment"), the Maximum Investment Amount that is calculated as of the beginning of the Due Period with respect to such Payment Date shall be deemed to be reduced by any amounts constituting Proceeds that were used to effectuate such Optional Redemption or Amortization Payment.

Maximum Investment Amount. As of any date of determination, the sum of, without duplication, (a) the Collateral Principal Amount, (b) the outstanding principal amount of all Defaulted Obligations that have been Defaulted Obligations for longer than three years and (c) the aggregate amount of all Principal Financed Accrued Interest.
