Unless Company is purchasing the McAfee Enterprise Products through an Authorized Partner, in which case payment obligations will be exclusively between the Authorized Partner and Company, Company will pay Musarubra the fees for the Musarubra Product within thirty (30) days of the invoice date.
Company may not exercise any right, title and interest in and to the McAfee Enterprise Products, Documentation or any related Intellectual Property Rights, except for the limited usage rights granted to Company in this Agreement.
For clarity, Supplier will not collect, retain, use, or disclose McAfee Enterprise Personal Data for any purpose other than as necessary for the specific purpose of processing McAfee Enterprise Personal Data, including collecting, retaining, using, or disclosing McAfee Enterprise Personal Data for a commercial purpose other than providing and enhancing McAfee Enterprise Products and Services.
If Company purchases the McAfee Enterprise Products directly from Musarubra for use or resale, Company will pay all applicable transaction taxes, including sales and use taxes, value added taxes, duties, customs, tariffs, and other government-imposed transactional charges however designated (and any related interest or penalty) on amounts payable by Company under this Agreement (Transaction Taxes).
McAfee Enterprise agrees that it will only collect, process and use Personal Data on Customer’s behalf for the purpose of performing and enhancing McAfee Enterprise Products and Services, and will not process Personal Data for any other purpose without Customer’s consent.
Musarubra (or its licensors) owns exclusively and reserves all rights, title and interest in and to the McAfee Enterprise Products and Documentation, including all Intellectual Property Rights as well as any Derivative Works.
Any notice given under or in relation to this Agreement must be in writing, signed by or on behalf of the party giving it, and addressed to the relevant Musarubra entity, “Attention Legal Department”, at the corresponding address, or to Company, at the contact information Company provided when purchasing or registering for the McAfee Enterprise Products.
