Contractor acknowledges that timely achievement by Contractor of Mechanical and Electrical Completion, Final Acceptance and the Final Acceptance Date by the applicable scheduled date therefore is essential to Owner, and therefore TIME IS OF THE ESSENCE in performing all of Contractor’s obligations set forth herein.
Mechanical and Electrical Completion Final Acceptance Additional Milestones as mutually agreed upon by Owner and Contractor.
Each such Required Manual shall comply with the requirements of the Scope of Work and the guidelines contained in Appendix F, including with respect to matters such as quantity, content and the time when such manuals are to be supplied to Owner and Operator, and shall be substantially complete and delivered to Owner and Operator prior to Mechanical and Electrical Completion in order to support training of personnel and start‑up and testing of the Plant.
Following any such remedial action, Contractor shall deliver to Owner a new notice of Mechanical and Electrical Completion and the provisions of this Section 10.3, shall apply with respect to such new Mechanical and Electrical Completion notice in the same manner as they applied to the original Mechanical and Electrical Completion notice so long as, if the Guaranteed Final Acceptance Date shall have passed, Contractor is paying Schedule Liquidated Damages when due in accordance with ARTICLE 11.
Within three (3) Business Days of receipt of such notice, Owner shall notify Contractor in writing whether or not Contractor has fulfilled the requirements of Mechanical and Electrical Completion.
Contractor shall promptly act to correct such deficiencies so as to achieve Mechanical and Electrical Completion as soon as possible (and no later than by the applicable date set forth in Appendix B, if such date has not already passed).
If Contractor has not fulfilled such requirements for Mechanical and Electrical Completion, Owner shall specify in such notice to Contractor in reasonable detail the reasons that the requirements for Mechanical and Electrical Completion have not been met.
Upon satisfaction of all requirements for Mechanical and Electrical Completion, Contractor shall provide Owner with a notice of Mechanical and Electrical Completion.
