Member Resolution definition

Member Resolution means a special resolution by the Members directing the Directors to take, or refrain from taking, specified action.

"Minimum Fitch Floating Spread Test": A test that is satisfied on any date of determination if the Weighted Average Floating Spread plus the Excess Weighted Average Coupon as of such date equals or exceeds the Minimum Fitch Floating Spread as of such date. “Minimum Floating Spread Test”: The test that will be satisfied on any date of determination if the Weighted Average Floating Spread plus the Excess Weighted Average Coupon equals or exceeds the greater of (a) the S&P Minimum Floating Spread and (b) 2.00%. “Minimum Weighted Average Coupon”: (i) If any of the Collateral Obligations are Fixed Rate Obligations, 7.00% and (ii) otherwise, 0.0%. “Minimum Weighted Average Coupon Test”: The test that will be satisfied on any date of determination as of which the Collateral Obligations include any Fixed Rate Obligations if the Weighted Average Coupon plus the Excess Weighted Average Floating Spread equals or exceeds the Minimum Weighted Average Coupon. "Minimum Weighted Average Fitch Recovery Rate Test": The test that will be satisfied on any date of determination if the Weighted Average Fitch Recovery Rate is greater than or equal to the applicable level in the Fitch Test Matrix. “Minimum Weighted Average S&P Recovery Rate Test”: The test that will be satisfied on any date of determination on and after the S&P CDO Monitor Election Date if the Weighted Average S&P Recovery Rate for the Highest Ranking S&P Class equals or exceeds the S&P CDO Monitor Recovery Rate of such Class of Secured Debt selected by the Collateral Manager in connection w...
Member Resolution means, for all matters put to a vote by the Leadership Council, the Members, or any committee as may exist from time to time, a resolution passed by a majority of not less than two-thirds (2/3) of the votes cast, such votes representing not fewer than sixty percent (60%) of the total number of Certified and Registered Individuals associated with the Members of the Corporation, on that resolution at a duly called meeting on notice at which quorum is present or by written resolution signed by all those entitled to vote on the resolution.
