Membership Schedule definition
Membership Schedule means the membership schedule attached to this Agreement as Exhibit “A” (as amended by the Manager from time to time to reflect any transfers permitted under this Agreement), which sets forth the name, address, Capital Contribution amount, the class of Membership Interest, and the percentage of Membership Interest within the respective membership class for each Member of the Company.

Each Seller is the legal, beneficial, record, and equitable owner of Membership Interests representing the Percentage Interest set forth opposite such Seller’s name on the Membership Schedule, free and clear of all Encumbrances other than Encumbrances arising under the terms of the Company Agreement and as may arise under federal or state securities laws.
