  • Vendor shall hold and maintain such Confidential Information in strict confidence and shall not disclose, sell or transfer any of such Confidential Information to any third party, except as set forth in the Merchandise Vendor Terms and Conditions.

  • If WSL accepts and pays for untimely delivered Merchandise, Vendor will not be released from any liability.

  • Whenever a Dealer requests the shipment of Merchandise from Vendor and that DFS finance such Merchandise, Vendor may deliver to DFS an invoice(s) describing the Merchandise.

  • Whenever a Dealer requests the shipment of Merchandise from Vendor and that CDF finance such Merchandise, Vendor may deliver to CDF an invoice(s) describing the Merchandise.

  • In the case of an absence by any Assistant Merchandise Vendor, substitution shall be offered first to those Assistant Merchandise Vendors who had signed up on the availability list and are not already scheduled, second to Publication Vendors in order or seniority, third to Retail hourly worker in order of seniority and fourth to hourly classification employees in order of seniority.

  • Radial shall pay Vendor, on behalf of Client (and so long client has provided Radial with sufficient funds for such payment), within the payment period specified in the Merchandise Vendor Agreement from the date Radial receives a proper invoice.
