Merger Funds definition

Merger Funds shall have the meaning provided in the recitals to this Agreement.
Merger Funds has the meaning specified in Section 5.6.
Merger Funds means the payment of the merger consideration to the equity holders of Holdings under the Acquisition Agreement, the payment of Transaction Expenses and the payment of the Refinancing.

  • Buyer has all requisite corporate power and authority to conduct its business as presently conducted as it relates to providing investment advisory services to Xxxxxxxx Funds Trust and, following the Closing, the Xxxxxxxx XX Merger Funds, and to execute and deliver this Agreement and the documents contemplated hereby, and to perform and comply with all of the terms, covenants, and conditions to be performed and complied with by Buyer hereunder and thereunder.

  • Buyer will retain Seller as investment sub‑advisor to the Xxxxxxxx XX Merger Funds upon the terms of the Sub-Advisory Agreement described in Schedule 6.10.

  • Merger Closing means “Closing,” as that term is defined in the Merger Agreement.
