Pledgor shall cause Mezzanine B Borrower to provide Lender with a copy of any amendment, waiver, supplement, termination or other modification to the Mezzanine B Loan Documents within five (5) days after the execution thereof.
Borrower has or has caused to be delivered to Lender true, complete and correct copies of all Mezzanine B Loan Documents, and none of the Mezzanine B Loan Documents has been amended or modified as of the date thereof.
There are no Mezzanine B Loan Documents other than those set forth on Schedule 4.1.50 attached hereto.
Mezzanine B Borrower has no other agreement with Mezzanine B Lender pursuant to which Mezzanine B Lender has committed to increase the amount of the Mezzanine B Loan, make any additional loans to Mezzanine B Borrower, or waive or amend any term or condition under the Mezzanine B Loan Documents.
Borrower shall cooperate with all reasonable requests of Lender in order to reallocate the amount of the Loan and the Mezzanine B Loan and shall execute and deliver such documents as shall reasonably be required by Lender in connection therewith, including, without limitation, amendments to the Loan Documents and the Mezzanine B Loan Documents and endorsements to the UCC title insurance policies, all in form and substance reasonably satisfactory to Lender.
Notwithstanding anything stated herein to the contrary, any provisions in this Agreement cross-referencing or incorporating by reference provisions of the Mortgage Loan Documents, the Mezzanine A Loan Documents or the Mezzanine B Loan Documents shall be effective notwithstanding the termination of the Mortgage Loan Documents, the Mezzanine A Loan Documents or the Mezzanine B Loan Documents by payment in full of the Mortgage Loan, the Mezzanine A Loan or the Mezzanine B Loan, as applicable, or otherwise.
The Collateral (as defined in the Mezzanine B Loan Agreement) and other collateral for the Mezzanine B Loan has not been mortgaged, pledged, or encumbered as security for any obligation other than the Mezzanine B Loan and, except as disclosed in the Mezzanine B Loan Documents, the Mezzanine B Loan is not cross-defaulted with any other obligation.
If Lender shall receive a copy of any notice of default under the Mezzanine B Loan Documents sent by Mezzanine B Lender, such notice shall constitute full protection to Lender for any action taken or omitted to be taken by Lender, in good faith, in reliance thereon, except to the extent such action or omission is deemed to be fraudulent, gross negligence, illegal or willful misconduct.
Borrower certifies that any certificate delivered by Mezzanine B Borrower to Mezzanine B Lender pursuant to the Mezzanine B Loan Documents (including any certified financial statement or rent roll) shall be accurate and complete, and Lender may rely on a copy thereof as if such certificate had been certified by Borrower and delivered directly by Borrower to Lender.
No provision of the Loan Documents, Mezzanine B Loan Documents or the Mezzanine C Loan Documents shall create a debtor-creditor relationship between Mortgage Borrower and any Mezzanine Lender.
