A payout of 75,000 shares of the common stock of USI shall be issued to the Seller (or, subject to compliance with applicable state and federal securities laws, its assigns) in the event that Buyer achieves net sales of products manufactured at the Lake Odessa, Michigan facility or any successor location (the "Michigan Facility") of at least $1,500,000 for any trailing twelve (12) month period ending not later than April 30, 1999 and commencing not earlier than May 1, 1996 (the "Measuring Period").
Each Borrower agrees to pay to each Bank, through the Agent, at the dates specified herein, a facility fee (a "Facility Fee") at a rate per annum, determined on a daily basis, equal to the Applicable Fee Percentage for Facility Fees from time to time in effect as determined pursuant to Section 3.4(c) on the amount of the Commitment of such Bank in respect of the Shiloh Facility or the Michigan Facility, as the case may be, used or unused, determined on a daily basis.
