Minimum Commitments shall have the meaning set forth in Exhibit C-2 (“OEM Pricing”).

• Netronome acknowledges and agrees that, for whatever period of time Netronome may be, or shall have been, in breach of its Financial Covenant during the Term, OEM’s Minimum Commitments obligations set forth in Section 5.1 and Exhibit C.2 (“OEM Pricing”) hereof may be tolled at OEM’s election for so long as Netronome has not cured its Financial Covenant and OEM is not otherwise entitled to exercise the “Make or Manufacture Option” in accordance with Section 6.8 of this Agreement.
