Minimum Fee means, with respect to any full calendar month, the result obtained by multiplying the average daily value of the net assets (gross of expenses) of Managed Assets during such month by 1/12th of the "floor rate" set forth in this Agreement.
Minimum Fee shall be a monthly minimum fee calculated as follows: the WFBC Discount times $30,000,000 times 30 divided by 360. This fee is to be paid as stated in Section 6.06 below.
