Minimum Liquidity Level definition

Minimum Liquidity Level means, as of any Valuation Date, an aggregate Market Value of the Corporation's Dividend Coverage Assets not less than the Dividend Coverage Amount.

Minimum Liquidity Level has the meaning set forth in paragraph 9 of this Part I.

• The calculations of the Dividend Coverage Assets, the Dividend Coverage Amount and whether the Minimum Liquidity Level is met shall be set forth in a certificate (a "Certificate of Minimum Liquidity") dated as of the Valuation Date.

• In the event that a Certificate of Minimum Liquidity is not delivered to S&P when required, the Minimum Liquidity Level shall be deemed not to have been met as of the applicable date.

• The Minimum Liquidity Level shall be deemed to be met as of any date of determination if the Corporation has timely delivered a Certificate of Minimum Liquidity relating to such date, which states that the same has been met and which is not manifestly inaccurate.

Minimum Liquidity Level means as of the end of any fiscal year, an amount equal to (i) the aggregate amount of cash and Temporary Cash Investments of the Company on such date and (ii) the aggregate amount of the unused revolving credit loan commitments available to be drawn under the Senior Secured Credit Facilities on such date.
