Minimum Settlement Rate definition

Minimum Settlement Rate has the meaning set forth in Section 5.01(a)(i).

Minimum Settlement Rate means 0.7682, subject to adjustment as contemplated by Section 5.04(a). “Minimum Stock Price” has the meaning set forth in Section 5.04(b)(iii)(3).

Any Officer’s Certificate delivered with respect to compliance with a condition or covenant provided for in this Agreement (other than the Officer’s Certificate provided for in Section 10.05) shall include the information set forth in Section 1.02. “Opinion of Counsel” means a written opinion of counsel who is acceptable to the Purchase Contract Agent and which counsel may be counsel to the Company (and who may be an employee of the Company or any of its Affiliates). An opinion of counsel may rely on certificates as to matters of fact.
Minimum Settlement Rate means 7.0373, subject to adjustment as provided herein.
