Minimum Share Delivery. Party A shall deliver a number of Shares equal to (i) the Minimum Shares minus (ii) the number of Initial Shares on the Minimum Share Delivery Date in accordance with Section 9.4 of the Equity Definitions, with the Minimum Share Delivery Date being deemed to be a “Settlement Date” for purpose of such Section 9.4.
