Minimum Valuation definition

Minimum Valuation means the sum of $100.0 million plus the gross proceeds to Enlivex from the Series C Financing.
Minimum Valuation means the product derived from this formula: US$[post-money valuation of series D+ round (incl, ESOP)] × (1+10%)n, where n = the number of actual days elapsed since the Original Issue Date of the Series D+ Preference Shares pursuant to Series D+ Share Purcahse Agreement II divided by 365.
Minimum Valuation means $8,750,000,000.

More Definitions of Minimum Valuation

Minimum Valuation means, as of any given date of determination, an amount (not below zero) equal to: (a) (i) the actual EBITDA for the last trailing four quarters as of such fiscal quarter end or fiscal year end, multiplied by (ii) eight (8)plus (b) Cash of the Company and its Subsidiaries, minus (c) the aggregate amount (which may be a negative amount) of Net Debt Reductions, in each case of clauses (b) and (c), as of the time utilized in the preparation of the applicable financial statements of the Company prepared as of the applicable date of determination; provided that with respect to an Approved Sale pursuant to Section 6.9(a)(i), the most recent fiscal quarter end prior to the date of the signing of the definitive agreement with respect to the Approved Sale will be used to calculate the trailing four quarters for purposes of determining the relevant Minimum Valuation.
Minimum Valuation means US$19,500,000.
Minimum Valuation shall have the meaning assigned thereto in the Pricing Side Letter.

Related to Minimum Valuation

  • Annual Valuation Date means the Valuation Date each calendar year so designated by the Trust, commencing in the calendar year 2003.

  • Initial Valuation means, when used with reference to specified Collateral, the Valuation initially performed for the Collateral as of the date on which the Collateral was added to the Collateral Pool. The Initial Valuation for each of the Initial Mortgaged Properties is as set forth in Exhibit A to the Agreement.

  • MCE Valuation Period means, subject to any extension (as described in further detail in the Conditions), the period commencing from and including the moment upon which the Mandatory Call Event occurs and up to the end of the following trading session on the Index Exchange; and

  • Minimum Net Worth means, for any Fiscal Quarter, the minimum Consolidated Net Worth required to be maintained by the Parent as of the end of such Fiscal Quarter pursuant to Section 6.12.

  • Approved Valuation Firm means (a) each of (i) Xxxxxxxx Xxxxx Xxxxxx & Xxxxx, (ii) Lincoln International LLC (f/k/a Lincoln Partners LLC), (iii) Duff & Xxxxxx Corp. and (iv) Valuation Research Corporation, and (b) any other nationally recognized valuation firm approved by each of the Borrower and the Administrative Agent in their sole reasonable discretion.

  • Final Valuation Date means the Final Valuation Date as specified in § 1 of the Product and Underlying Data. If the Final Valuation Date is not a Calculation Date the immediately following Banking Day which is a Calculation Date shall be the Final Valuation Date.

  • SPS Valuation Date means the SPS FR Barrier Valuation Date or the Strike Date, as applicable.

  • Quarterly Valuation Date means the last Business Day of the last month of each fiscal quarter of the Trust in each fiscal year of the Trust, commencing October 31, 2001.

  • Auto-Call Valuation Date means, in respect of an Index and subject to the Adjustment Provisions, each day specified as such in the definition of Auto-Call Trigger Level, or if any such day is not a Scheduled Trading Day for such Index, the next following Scheduled Trading Day in respect of such Index.

  • Excess valuation assets for a valuation period means, with

  • Merger Valuation Period for any Merger Event means the five consecutive Trading Day period immediately preceding, but excluding, the effective date for such Merger Event.

  • VWAP Minimum Price Threshold means, with respect to any particular VWAP Purchase Notice, the Sale Price on the VWAP Purchase Date equal to the greater of (i) 80% of the Closing Sale Price on the Business Day immediately preceding the VWAP Purchase Date or (ii) such higher price as set forth by the Company in the VWAP Purchase Notice.

  • Minimum Cash Amount shall have the meaning set forth in Section 6.2(iv).

  • Minimum Threshold means the average daily yield on the 10 Year Treasury Note (as reported in the Bloomberg GT10 index) over the Award Period.

  • Minimum Cash Balance means $10,000,000 minus (i) $500,000, (ii) any amounts to be paid to holders of Allowed Ongoing Trade Claims of New Permian Corp., and (iii) any amounts to be paid to holders of Allowed Cure Amounts pursuant to Section 8.4(ii).
