Modified Products definition

Modified Products means clustering significant improvements to Existing products (excluding New Products) in terms of Either cost reduction, functionality improvement and / or aesthetic improvement developed by APG's R & D Group under the Executive's leadership while the Executive is employed by the Corporation. The list of Modified Products will be determined by the Executive and the Corporation within thirty (30) days following each anniversary date of the Effective Date. The current list of new and modified products is attached and labeled Schedule B.
Modified Products means all Modified Market Products and Modified Excluded Market Products.
Modified Products means products that, save for minor amendments to Specifications, have substantially the same technical, physical and performance characteristics as existing Products.

  • Seller will use its best efforts to assure that all Products that are modified after the Effective Date (“Modified Product(s)”) shall be “compatible” (as defined herein) in such modified form with all hardware and software utilized by Buyer in conjunction with such Modified Products (including monitoring software) prior to the modification thereof (collectively, “Existing Systems”).

  • In all cases where Seller cannot assure that Modified Products will be compatible with Existing Systems, Seller will provide Buyer with ninety (90) days written notice in advance of Seller’s implementation of such modification, and will use its best efforts to continue to manufacture compatible Products.

  • Prior to Commercialization, on a semi-annual basis, Licensee will provide to Licensor the most updated prototype versions of the Software, any Derivative Works and any License Modified Products, without any implied reps or warranties; provided that, where no such improvements have been made since the version last provided to Licensor, Licensee will instead provide to Licensor written certification that no improved versions of the Software, Derivative Works or Licensee Modified Products exist.

  • During the term of this Agreement, Licensee will provide to Licensor one complete copy of any and all commercial versions, including revised versions, of the Software, any Derivative Works, and any Licensee Modified Products, including but not limited to executable code, source code, programmer documentation and End User documentation at the time it is made available to End Users directly or indirectly by Licensee or any Sub-Licensee.


More Definitions of Modified Products

Modified Products means the version of the ESS Base Product(s) which has been modified by or for Komodo and shall include, without limitation, the Komodo VoIP Product.
Modified Products means Products, which are modified or improved by Infineon to comply with customer requirements or to otherwise increase their functionality and/or marketability, regardless of whether such modifications or improvements are based on the Existing Technology and/or Improvements.
Modified Products means a Product that is manufactured in accordance with new Specifications that are designed to enhance operating performance but which do not materially change the basic characteristics of such Product or the manner and cost of their manufacture. 1.15. "New Products" shall mean any Blanks manufactured by Schott or that DPI requests Schott manufacture, that: (i) are not included in Attachment 3; or (ii) constitute an existing Product manufactured in accordance with new Specifications that materially alter the characteristics of such existing Product or the manner or cost of their manufacture. 1.16. "Photomasks" shall mean clear quartz or glass Substrates, imaged with an array of a light absorbing, light transmitting or light altering device layer, into which layer a portion of an electronic circuit design is etched. 1.17. "Production Year" shall mean a twelve-month period commencing July 1 and ending June 30. 1.18. "Product" shall mean any of the entire catalogue of Blanks manufactured by Schott at any Schott facility as of the date of this Agreement, as well as any Modified Products and New Products Schott may manufacture in the future. Attachment 3, as it may be amended by Schott from time to time, contains a full and complete list of Products produced by Schott as of the Effective Date. 1.19. "Qualified Blank" means any Blank and Substrate combination (i) that has been manufactured by Schott at any Schott facility qualified by DPI to produce such material, (ii) that has been qualified for use in a DPI Mask Shop, and (iii) that conforms with all Specifications applicable to such Blank and Substrate combination. 1.20. "Specification" means any DPI technical and functional characteristics for any particular Blank and Substrate combination, as provided from time to time by DPI. Attachment 4, as may be amended from time to time, contains a full and complete list of Specifications for Products produced by Schott as of the Effective Date. 1.21. "Substrate" means a square or round object of varying thickness, comprised of quartz, or some other material that, when subjected to certain processes, is converted into a Blank. 1.22. "Term" means the term of this Agreement as set forth in Section 13.1. ARTICLE
Modified Products as used herein shall mean either MODIFIED HARDWARE PRODUCTS or MODIFIED SOFTWARE PRODUCTS or both, as the context requires.
Modified Products means computer software that is not a Derivative, but incorporates or is based on the Product Suite in whole or in substantial part, and provides new functionality.
