  • The Master Servicer shall supervise, monitor and oversee the obligations of the Servicer to service and administer the Mortgage Loans in accordance with the terms of the MortgageIT Servicing Agreement and shall have full power and authority to do any and all things which it may deem necessary or desirable in connection with such master servicing and administration.

  • The Master Servicer shall reconcile the results of its Mortgage Loan monitoring with the actual remittances of the Servicer pursuant to the MortgageIT Servicing Agreement.

  • To the extent provided in the MortgageIT Servicing Agreement, the Protected Account shall be held by a Designated Depository Institution and segregated on the books of such institution in the name of the Indenture Trustee for the benefit of the Noteholders.

  • The income earned from Permitted Investments made pursuant to this Section 4.01 shall be paid to the Servicer under the MortgageIT Servicing Agreement, and the risk of loss of moneys required to be distributed to the Noteholders resulting from such investments shall be borne by and be the risk of the Servicer.

  • The Master Servicer shall, to the extent provided in the MortgageIT Servicing Agreement, cause the Servicer to sell any REO Property as expeditiously as possible and in accordance with the provisions of the MortgageIT Servicing Agreement, as applicable.

  • Pursuant to its efforts to sell such REO Property, the Master Servicer shall cause the Servicer to protect and conserve, such REO Property in the manner and to the extent required by the MortgageIT Servicing Agreement.

  • The Master Servicer shall use its best reasonable efforts to cause the Servicer (to the extent required under the MortgageIT Servicing Agreement) to keep in force and effect (to the extent that the Mortgage Loan requires the Mortgagor to maintain such insurance), primary mortgage insurance applicable to each Mortgage Loan in accordance with the provisions of this Agreement and the MortgageIT Servicing Agreement, as applicable.

  • Such enforcement, including, without limitation, the legal prosecution of claims, termination of the MortgageIT Servicing Agreement and the pursuit of other appropriate remedies, shall be in such form and carried out to such an extent and at such time as the Master Servicer, in its good faith business judgment, would require were it the owner of the related Mortgage Loans.

  • It is understood and agreed that such insurance shall be with insurers meeting the eligibility requirements set forth in the MortgageIT Servicing Agreement and that no earthquake or other additional insurance is to be required of any Mortgagor or to be maintained on property acquired in respect of a defaulted loan, other than pursuant to such applicable laws and regulations as shall at any time be in force and as shall require such additional insurance.

  • The Master Servicer shall not, and shall not permit the Servicer (to the extent required under the MortgageIT Servicing Agreement) to, cancel or refuse to renew any such Primary Mortgage Insurance Policy that is in effect at the date of the initial issuance of the Mortgage Note and is required to be kept in force hereunder except in accordance with the provisions of this Agreement and the MortgageIT Servicing Agreement, as applicable.
