MPP Financial Statements definition

MPP Financial Statements shall collectively refer to whichever of the following that Seller is obligated to cause to be prepared and audited or reviewed as a condition to Buyer’s acquiring the Membership Interests: (i) the MPP Annual Audited Financial Statements; and (ii) the MPP Unaudited Financial Statements.

  • The Gas Imbalance is not reflected in the MPP Financial Statements.

  • MPP does not have any Liabilities (whether absolute, accrued, contingent or otherwise) except those Liabilities (a) disclosed and reserved against in the MPP Financial Statements (or notes thereto) as required by GAAP, or (b) incurred in the ordinary course of business since December 31, 2007 and reflected or disclosed on the MPP Financial Statements.
