  • RA acknowledges MTP’s exclusive right, title and interest in the MTP Marks.

  • Upon any termination of this Agreement (i) MTP’s acceptance of an Order obtained through RA shall not constitute a renewal of this Agreement or waiver of such termination, (ii) all rights and licenses of RA hereunder shall immediately and automatically terminate; (iii) RA shall return to MTP all Confidential Information, and all copies thereof, in its possession, custody and control and shall cease all use of the MTP Marks.
