Murabaha Price definition

Murabaha Price means, with respect to a Transaction, (i) the Purchase Price of such Metals, plus (ii) the Agreed Profit for such Transaction.
Murabaha Price shall have the meaning assigned to such term in the Commodities Purchase Agreement or the Second Lien Commodities Purchase Agreement, as applicable.
Murabaha Price means, with respect to a Metals Transaction or Goods Transaction, as applicable, (i) the Purchase Price of such Metals or Goods, plus (ii) the Agreed Profit for such Transaction, plus (iii) if applicable, the Supplemental Profit for such Transaction, all as computed by TCO in accordance with this Agreement. Notwithstanding the foregoing, the Murabaha Price for any Transaction with a Deferred Payment Period of 6 months, 9 months or 12 months from the Value Date shall, on each Interim Payment Date applicable to such Transaction, be reduced by the Interim Agreed Profit paid by Tensar with respect to such Transaction on such Interim Payment Date.

Examples of Murabaha Price in a sentence

  • Any prepayment of the Murabaha Price must be in an amount equal to at least $500,000 or in integral multiples of $500,000 in excess thereof (or such lesser amount equal to the remaining Murabaha Price).

  • Each Purchase Request shall include (i) a general description of the Metals to be purchased, (ii) the total price of the Metals to be paid by TCO to the Supplier, (iii) the Value Date, which shall be at least three Business Days after the date of the Purchase Request, and (iv) the date on which the Murabaha Price is to be paid by Luxco in relation to such Transaction (the “Transaction Payment Date”).

Related to Murabaha Price

  • Spot Price means the rate of exchange at the time at which such price is to be determined for foreign exchange transactions in the relevant Currency Pair for value on the Spot Date, as determined in good faith: (i) by the Seller, for purposes of Section 5, and (ii) by the Non-Defaulting Party, for purposes of Section 8.

  • Hammer Price means the level of bidding reached (at or above any reserve) when the auctioneer brings down the hammer;

  • The Price means the price payable to the Supplier under the Contract for the full and proper performance of its contractual obligations.

  • Price means an amount of money tendered for goods or services, and includes all applicable taxes less all unconditional discounts;

  • Wholesale price or "WSP" shall mean the greater of (i) the first published price of the Licensed Product offered to retailers by Publisher as evidenced by a sell sheet or price list issued by Publisher, or (ii) the actual price paid by retailers upon the first commercial shipment of a Licensed Product without offsets, rebates or deductions from invoices of any kind.

  • Issuance Price means the Sales Price less the Selling Commission.

  • Minimum Purchase Price has the meaning set forth in Section 2.04.

  • Effective Price of Additional Shares of Common Stock shall mean the quotient determined by dividing the total number of Additional Shares of Common Stock issued or sold, or deemed to have been issued or sold by the Company under this Section 4F, into the aggregate consideration received, or deemed to have been received, by the Company for such issue under this Section 4F, for such Additional Shares of Common Stock.

  • Share Purchase Price shall have the meaning ascribed to such term in Section 2.1(b).

  • Transaction Price means the final, publicly announced, price per share of Common Stock paid by an acquirer in connection with a Change in Control (other than a Non-Transactional Change in Control), provided, however, that the Administrator may, in its sole discretion, discount the value of any earn-out, escrow or other deferred or contingent consideration (in each case, to zero) as it deems appropriate.

  • Formula Price means the highest of: (a) the highest composite daily closing price of the Stock during the period beginning on the 60th calendar day prior to the Change of Control and ending on the date of such Change of Control, (b) the highest gross price paid for the Stock during the same period of time, as reported in a report on Schedule 13D filed with the Securities and Exchange Commission, or (c) the highest gross price paid or to be paid for a share of Stock (whether by way of exchange, conversion, distribution upon merger, liquidation or otherwise) in any of the transactions set forth in Section 9 of the Plan as constituting a Change of Control; provided that in the case of the exercise of any such Right related to an Incentive Stock Option, “Formula Price” shall mean the Fair Market Value of the Stock at the time of such exercise.

  • Per Share Purchase Price equals $1.00, subject to adjustment for reverse and forward stock splits, stock dividends, stock combinations and other similar transactions of the Common Stock that occur after the date of this Agreement.

  • SAFE Price means the price per share equal to (x) the Valuation Cap divided by (y) the Fully Diluted Capitalization.

If the closing of the primary exchange, the absence of a closing price or the market disruption event should last for five Business Days, the closing price of the relevant Reference Share will be a price determined on such fifth Business Day by the Calculation Agent in its sole discretion and in good faith using market-accepted practices.

  • Tender Price means the amount stipulated by the Tenderer in the space provided therefor in the Form of Tender, including all applicable taxes, which price, for greater certainty, is the Tenderer’s proposed Contract Price to complete all of the Work; and

  • Discounted Market Price of Shares means, if the Shares are listed only on the TSX Venture Exchange, the Market Price less the maximum discount permitted under the TSX Policy applicable to Options.

  • Option Exchange Ratio means the quotient obtained by dividing (i) the Cash Amount Per Share by (ii) the Acquiror Common Stock Price.

  • Minimum Sale Price means (i) with respect to a Receivable (x) that has become 60 to 210 days delinquent or (y) that has become greater than 210 days delinquent and with respect to which the related Financed Vehicle has been repossessed by the Servicer and has not yet been sold at auction, the greater of (A) 55% multiplied by the Principal Balance of such Receivable and (B) the product of the three month rolling average recovery rate (expressed as a percentage) for the Servicer in its liquidation of all receivables for which it acts as servicer, either pursuant to this Agreement or otherwise, multiplied by the Principal Balance of such Receivable or (ii) with respect to a Receivable (x) with respect to which the related Financed Vehicle has been repossessed by the Servicer and has been sold at auction and the Net Liquidation Proceeds for which have been deposited in the Collection Account, or (y) that has become greater than 210 days delinquent and with respect to which the related Financed Vehicle has not been repossessed by the Servicer despite the Servicer’s diligent efforts, consistent with its servicing obligations, to repossess the Financed Vehicle, $1.

  • Net Purchase Price has the meaning set forth in Section 2.1.
