MXP Acquisition Proposal definition
MXP Acquisition Proposal means any proposal or offer, other than a proposal or offer by Spice or any of its Affiliates, for, or that could be reasonably expected to lead to, a tender or exchange offer, a merger, consolidation or other business combination involving MXP or any of its Significant Subsidiaries or any proposal to acquire in any manner a substantial equity interest in, or any substantial portion of the assets of, MXP or any of its Significant Subsidiaries.
