Subject to the terms and conditions of this Agreement, each Agent, at any time it is an Agent, for the period specified in the Placement Notice, will use its commercially reasonable efforts consistent with its normal trading and sales practices and applicable state and federal laws, rules, and regulations and the rules of the Nasdaq Stock Market (the “Exchange”), to sell the Placement Shares in accordance with the terms of such Placement Notice.
The shares of Common Stock to be issued to Seller pursuant to this Agreement shall have been approved for listing on Nasdaq, subject to the completion of the Merger.
Parent and Merger Sub have all necessary power and authority to execute and deliver this Agreement and to perform its obligations hereunder and to consummate the transactions contemplated hereby (including the Merger) other than the approval of the Parent’s shareholders pursuant to Rule 5635(a)(2) of Nasdaq (such approval, the “Parent Shareholder Approval”).
Parent shall take all actions, and do all things, necessary, proper or advisable on its part under applicable Laws and rules and policies of Nasdaq to ensure that the shares of Common Stock to be issued to Seller pursuant to this Agreement are approved for listing on Nasdaq prior to or as of the Effective Time.
CB shall prepare, file and use its reasonable best efforts to have the CB Common Stock approved for listing on Nasdaq Capital Markets (“Nasdaq”), subject to official notice of issuance.
