Any Dividend Equivalents deriving from a cash dividend shall be converted to RSUs based on the Fair Market Value of Shares on the dividend payment date (or, if the dividend payment date is not a day during which the NASDAQ is open for trading (such an open day, a “NASDAQ Trading Day”), then on the first NASDAQ Trading Day following the dividend payment date).
The reporting entity relied upon for the determination of the trading price or trading volume of the Ordinary Shares on any given NASDAQ Trading Day for the purposes of this Agreement shall be Bloomberg, L.P. or any successor thereto.
Upon the issuance by the Company of an Advance Notice with a Minimum Acceptable Price, (i) the amount of the Advance set forth in such Advance Notice shall automatically be reduced by 20% for each NASDAQ Trading Day during the Pricing Period that the VWAP of the Ordinary Shares is below the Minimum Acceptable Price (each such day, an “Excluded Day”), and (ii) each Excluded Day shall be excluded from the Pricing Period for purposes of determining the Market Price.
An Advance Notice shall be deemed delivered on (i) the NASDAQ Trading Day it is received electronically, by facsimile or otherwise by the Investor if such notice is received prior to 5:00 pm Eastern Time, or (ii) the immediately succeeding NASDAQ Trading Day if it is received by facsimile or otherwise after 5:00 pm Eastern Time on a NASDAQ Trading Day or at any time on a day which is not a NASDAQ Trading Day.
The closing (the “Closing”) of the sale and purchase of the Shares under this Agreement will take place remotely via wire transfer and an electronic exchange of documents and signatures on the third NASDAQ Trading Day following the date hereof, or at such other time, date and place as are mutually agreeable to the Company and the Purchaser.
No Advance Notice may be deemed delivered on a day that is not a NASDAQ Trading Day.
