NATIONAL COLLEGIATE. Funding proposes to cause the Issuer, upon the terms and conditions set forth herein, to sell to the Underwriters on the Closing Date (as hereinafter defined) the aggregate principal amount of each Class of Notes, at the percentages set forth for each such Class, set forth on SCHEDULE A hereto. National Collegiate Funding wishes to confirm as follows this Agreement with the Underwriters in connection with the purchase of the Notes.
