Negative Amount means the amount by which the Base Liabilities exceed the Adjusted Assets. If the Negative Amount is $2,500,000 or less, the Cash Purchase Price shall be increased by fifty percent (50%) of the amount by which the $2,500,000 exceeds the Negative Amount. If the Negative Amount exceeds $3,000,000, then the Purchaser may, by notice given not more than four (4) days after the Draft Final Balance Sheet is prepared, at its sole option, elect to terminate this Agreement as provided in Section 9.16 hereof.
