Negative Condition definition

Negative Condition shall have the meaning set forth in Section 6.05(e).
Negative Condition means each Condition which is set out in paragraphs (j) to (m) in the section headed “The Proposal – Conditions of the Proposal and the Scheme” of the Announcement;
Negative Condition means each condition which is contained in paragraphs 2.5 to 2.7 (inclusive) of Appendix 1 to the Announcement; Offer Document means, if following the date of this Agreement Aon elects to implement the Acquisition by way of the Takeover Offer in accordance with paragraph 4.8.1, the document which would be despatched to Xxxxxxxx Shareholders and others by Aon (or such other entity as it may elect) containing, amongst other things, the Takeover Offer Conditions and certain information about Aon and Xxxxxxxx and, where the context so admits, includes any form of acceptance, election, notice or other document required in connection with the Takeover Offer;

Examples of Negative Condition in a sentence

  • Tenant shall cease the activity causing the Negative Condition upon receipt of Landlord’s notice until the Negative Condition has been remedied.

The NYISO or Connecting Transmission Owner shall notify the Interconnection Customer promptly when it becomes aware of an Emergency Condition that may reasonably be expected to affect the Interconnection Customer’s operation of the Small Generating Facility. The Interconnection Customer shall notify the NYISO and Connecting Transmission Owner promptly when it becomes aware of an Emergency Condition that may reasonably be expected to affect the New York State Transmission System or Distribution System or any Affected Systems. To the extent information is known, the notification shall describe the Emergency Condition, the extent of the damage or deficiency, the expected effect on the operation of each Party’s facilities and operations, its anticipated duration, and the necessary corrective action.

  • Release Conditions mean the following conditions: (i) Company has received the Executive’s executed Release and (ii) any rescission period applicable to the Executive’s executed Release has expired.

  • Failed Remarketing Condition means a Failed Remarketing Condition-Purchased VRDP Shares or a Failed Remarketing Condition-Unpurchased VRDP Shares.

  • Nonconforming zoning condition means a physical improvement on a property that does not conform with current zoning standards.
