Net Cash Available definition

Net Cash Available means, without duplication, for any direct Non-Insurance Subsidiary of the Borrower (a) Net Income of such Subsidiary plus (b) any non-cash expenses of such Subsidiary deducted in determining Net Income less (c) any non-cash income of such Subsidiary included in determining such Net Income.
Net Cash Available means cash on deposit or cash equivalents which includes the Intercompany Net Cash Balance less amounts required to maintain minimum regulatory net worth requirements (in excess of other Company assets if otherwise insufficient, or if cash is required) and less such other amounts the Operating Committee may determine are required to be set aside in reserve to fund future operating and capital expenditures.
Net Cash Available means net income (loss) as determined by GAAP plus any non-cash expenses less any non-cash revenues (in the case of any regulated Person only to the extent permitted to be dividended by such Person).

Examples of Net Cash Available in a sentence

  • Net Cash Available for Distribution shall be determined by the Board of Managers for each Fiscal Quarter as of the end of such Fiscal Quarter.

  • Except as otherwise provided in Article XI, the Board of Managers may, in its sole and absolute discretion, distribute any portion or all, or none, of the Net Cash Available for Distribution, if any, for each Fiscal Quarter to the Members in proportion to the number of Shares held by each Member.

Net Cash Available. Net Cash Available shall mean the gross cash proceeds from Partnership operations (expressly including income from sales of oil and gas and sales of properties in the ordinary course of business) after the portion used to pay or establish reserves for all Partnership expense, (expressly provided that no individual reserve account may exceed $50,000 per annum), debt repayment, contingencies and replacements, to be determined in the sole discretion of the General Partner. Net Cash Available shall not be reduced by depreciation, depletion, amortization, cost recovery allowance or any other similar allowance, but shall be increased by any reduction of cash reserves previously established pursuant to the first sentence of this definition, and shall include noncash items as otherwise set forth in this Agreement.

  • Adjusted Operating Cash Flow means the net cash provided by operating activities of the Company as reported in the Company’s consolidated statements of cash flows included in its Annual Report on Form 10-K, adjusted to eliminate the effect on operating cash flows of net customer financing cash flows, as reported in the Company’s consolidated statements of cash flows included in its Annual Report on Form 10-K.

  • Cash Available for Distribution means the Available Cash other than Net Sales Proceeds.

  • Net Cash means the cash proceeds (net of cash taxes paid and reasonable and customary costs paid to unrelated and unaffiliated third parties in connection with a particular transaction) arising from any Excess Cash Event.

  • Adjusted Cash Flow means, for any period (the “calculation period”), the sum, for the Borrower and its Consolidated Subsidiaries (determined on a consolidated basis without duplication in accordance with GAAP), of the following: (a) Operating Cash Flow for the calculation period minus (b) Capital Expenditures made during the calculation period (excluding Capital Expenditures made from the proceeds of Indebtedness other than Indebtedness hereunder).
