Net Cash Available for Distribution shall be determined by the Board of Managers for each Fiscal Quarter as of the end of such Fiscal Quarter.
Except as otherwise provided in Article XI, the Board of Managers may, in its sole and absolute discretion, distribute any portion or all, or none, of the Net Cash Available for Distribution, if any, for each Fiscal Quarter to the Members in proportion to the number of Shares held by each Member.
