Examples of Net Option Payment in a sentence
Each former holder of any canceled Catellus Option shall receive the Net Option Payment in the form of (i) a number of ProLogis Common Shares equal to 65% of the Net Option Payment (based on the closing price of a ProLogis Common Share on the last business day immediately prior to the Closing Date) and (ii) an amount of cash equal to 35% of the Net Option Payment.
Within three (3) Business Days after the Closing, Parent shall pay by wire transfer of immediately available funds to the Surviving Corporation and Parent shall cause the Surviving Corporation to pay to each of the holders of Company Options, the applicable Closing Net Option Payment, if any, for each share underlying such holder’s Company Options less any required withholding of Taxes under applicable Law.
Promptly (and, in any case, within two (2) Business Days after the Closing Date), each holder of Company Options as of immediately prior to the Effective Time shall be entitled to receive from the Surviving Entity the applicable Net Option Payment for each share of Company Stock underlying such In-the-Money Options less any required withholding of Taxes under applicable Legal Requirements.
In connection with such Net Option Payment, the Company, on behalf of each holder of Stock Options, shall withhold any applicable withholding Tax, which amounts are required to be deducted and withheld pursuant to applicable Tax Law.
Schedule 4.10(b) of the Disclosure Schedules accurately lists the names and principal addresses of each of the holders of all issued and outstanding options to purchase Capital Stock of NSS (the “Options”), the number of Options held by each, the exercise price of each Option, the exercise price per share of each Option, and the Net Option Payment (which when paid shall be net of applicable withholding, if any) due each Option Holder that does not exercise such Option prior to the Closing.
Within five (5) Business Days after the Closing, Parent shall, or shall cause the Surviving Corporation to, pay to each of the holders of Company Options, the applicable Closing Net Option Payment, if any, for each share underlying such holder’s Company Options, less any required withholding of Taxes under applicable Law.
