Net Outside Sales definition

Net Outside Sales means, for any period of determination and for any Product, the gross invoice price of such Product sold by P&GP (or any Related Parties, successors, assignees, delegatees or partners of P&GP) to the first Third Party after deducting, if not previously deducted, from the amount invoiced or received, the following, provided such deductions shall be incurred reasonably for the benefit of such Product:
Net Outside Sales shall have the meaning set forth in Schedule I-C.
Net Outside Sales. (NOS) means gross sales to customers (i.e., list price multiplied by total units shipped) less all insurance, duties and sales or value added tax actually paid and less all consumer and trade discounts and allowances, including, without limitation, quantity discounts, returns, listing fees, free goods, contests and offers, cash discounts and all other payments to consumers and trade. All deductions to sales will be specific to sales activity for the product.

Examples of Net Outside Sales in a sentence

  • If the Product is sold or otherwise transferred as part of a package with other products, the Net Outside Sales for such Product shall be the Net Outside Sales applicable to such Product as if sold separately, less the pro-rata amount of any discount associated with the package.

  • Net Outside Sales is defined as Outside Sales less spending which “works” to reduce the cost of Product to the customer or consumer less UK PPRS Payments.

  • If the Auditor’s report results in findings as to Net Outside Sales, ADE and the calculation of Primary Detail Cost and the payments paid or payable under the Collaboration Agreement Documents which findings are different from those figures originally reported or paid by a party, then the report shall include a reconciliation of the original figures with those found to be correct by the Auditor and the source of such difference(s).

  • Unless otherwise agreed by the Alliance Management Committee, the Health Registration that will be withdrawn will be the Health Registration for which Net Outside Sales in the twelve (12) full calendar months prior to API’s receipt of the Conversion Notice are smaller.

  • If P&G is the terminating party, P&G shall pay API a royalty of ***** on Total Net Outside Sales within the Territory until the earlier to occur of (a) January 1, 2015 or (b) a point in time when total royalties paid by P&G to API equal ***** of API’s milestone payments actually paid to P&G under Section II(A).

  • P&GP and its Related Parties shall exercise Commercially Reasonable Efforts to maximize the Net Outside Sales of the Products during the term of this Agreement, and shall at all times market the Products in a manner comparable to other products of P&GP (or its Related Parties, successors, assignees, delegatees or partners), with market potential comparable to that of the Products.

  • Royalty on Product Sales P&G will make royalty payments (the “Royalty Payments”) to Biolase after commercial launch of Product(s) based on Net Outside Sales of such Product(s).

  • The party claiming that there is a Dispute must notify the other party in writing and give details of that Dispute.

  • At any time prior to the expiration of five (5) years following the end of any Quarter, either party may retain an independent certified public accountant reasonably acceptable to the other party (each, an “Auditor”) for the purpose of auditing the other party’s records of Net Outside Sales, Cost of Goods, ADE and the calculation of Primary Detail Cost (in terms of PDEs), and payments paid or payable under the Collaboration Agreement Documents.

  • For purposes of calculating Net Outside Sales for any period in the WC Exclusive Territory, all discounts, returns, deductions and other adjustments to Outside Sales contemplated by Schedule I-C of the Collaboration Agreement shall offset Outside Sales in accordance with United States generally accepted accounting principles, consistently applied.

Net Outside Sales means the gross price invoiced by the Company for all Samsonite-owned brand products to customers anywhere in Japan after deducting: (1) sales taxes or other taxes separately stated on the invoice, (2) shipping and other transportation and insurance charges actually paid and separately stated on the invoice, (3) actual allowances, rebates, credits and refunds for returned or defective goods, and (4) normal and customary trade and quantity discounts;
Net Outside Sales or "NOS" means, as invoiced, THIRD PARTY sales of LICENSED PRODUCT(s) in bona fide arms-length transactions less the total of the following in their normal and customary amounts: (a) trade and cash discounts and allowances; (b) all other allowances, adjustments, reimbursements, discounts, charge backs and rebates granted to THIRD PARTIES; (c) value added tax and other taxes or duties to the extent included in invoiced sales of products; (d) consumer price reductions; (e) any damaged and returned merchandise payments and allowances; and (f) merchandising and pricing funds provided to THIRD PARTIES including, but not limited to, introductory merchandising funds to list new products. For purposes of determining NOS, product shall be deemed to be sold when shipped. Sales between or among a PARTY, its SUBLICENSEEs and/or AFFILIATEs shall be excluded from the computation of NOS, but sales by such PARTY, its SUBLICENSEEs and its AFFILIATEs to their THIRD PARTY customers shall be included in the computation of NOS. All sales made in foreign currency shall be converted into US dollars on a quarterly basis using the average of the exchange rates on the first and last working days of each quarter as published in the Wall Street Journal.
