  • Notwithstanding anything to the contrary contained in this Agreement, Seller shall have no liability under this Agreement with respect to any matter to the extent the expense, loss or liability comprising the Indemnity Loss (or part thereof) with respect to such matter has been taken into account in the determination of the Net Portfolio Value Adjustment.

  • As promptly as practicable, but in no event later than fifteen (15) Business Days after receipt of the Closing Date Net Portfolio Value Statement, Seller shall notify Purchaser in writing whether it accepts or disputes the accuracy of Purchaser’s Final Net Portfolio Value Determination.
