Network IRU has the meaning set forth in Section 2.1.

Examples of Network IRU in a sentence

  • Neither this Agreement nor the grant of the Network IRU effected hereby conveys any form or type of title in any real or personal property, including the System or any portion thereof or in any transmission or other facilities and equipment related to the provision of Telecommunications Services, Other Services, or Additional Services.

  • WinStar shall timely report and pay any and all sales, use, income, gross receipts, excise, transfer, ad valorem, or other taxes, and any and all franchise fees or similar fees, if any, assessed against it due to its ownership of the Network IRU, its use of the WinStar Fibers, including the provision of services over the WinStar Fibers, its use of any other part of the System, or its ownership or use of facilities connected to the WinStar Fibers.

  • If Xxxxxxxx is assessed for any taxes or fees (a) related to WinStar's ownership of the Network IRU, WinStar's use of or rights in the WinStar Fibers, or (b) that WinStar is obligated to pay pursuant to Sections 18.1 or 18.2, WinStar shall reimburse Xxxxxxxx for any payment of such taxes or fees within thirty (30) days of receipt of Xxxxxxxx' invoice.

  • As consideration for the Network IRU, WinStar shall pay Xxxxxxxx Five Hundred and Fifty Million Dollars ($550,000,000) (the "Contract Price") in accordance with the payment and other terms set forth in Exhibit K hereto (the "Payment Terms"), plus the Exercise Price if the Option is exercised.

  • If Willxxxx xx assessed for any taxes or fees (a) related to WinStar's ownership of the Network IRU, WinStar's use of or rights in the WinStar Fibers, or (b) that WinStar is obligated to pay pursuant to Sections 18.1 or 18.2, WinStar shall reimburse Willxxxx xxx any payment of such taxes or fees within thirty (30) days of receipt of Willxxxx' xxvoice.

  • As consideration for the Network IRU, WinStar shall pay Willxxxx Xxxe Hundred and Fifty Million Dollars ($550,000,000) (the "Contract Price") in accordance with the payment and other terms set forth in Exhibit K hereto (the "Payment Terms"), plus the Exercise Price if the Option is exercised.

  • Section 3.19(a) of the Disclosure Schedule also sets forth the portions of the longhaul network and the longhaul segments (including the number of fibers on each route) that are provided by third parties to the Seller or any Acquired Subsidiary through IRU agreements ("Network IRU Agreements"), lease or other agreements and the Seller and/or Acquired Subsidiary party thereto.

Related to Network IRU

  • Network Load means the load that a Network Customer designates for Network Integration Transmission Service under Tariff, Part III. The Network Customer’s Network Load shall include all load (including losses) served by the output of any Network Resources designated by the Network Customer. A Network Customer may elect to designate less than its total load as Network Load but may not designate only part of the load at a discrete Point of Delivery. Where an Eligible Customer has elected not to designate a particular load at discrete points of delivery as Network Load, the Eligible Customer is responsible for making separate arrangements under Tariff, Part II for any Point-To-Point Transmission Service that may be necessary for such non-designated load.

  • Network means the participating providers described in the Provider Directory.

  • Integrated Services Digital Network (ISDN means a switched network service that provides end-to-end digital connectivity for the simultaneous transmission of voice and data. Basic Rate Interface-ISDN (BRI-ISDN) provides for a digital transmission of two (2) 64 Kbps bearer channels and one (1) 16 Kbps data channel (2B+D).

  • Network pharmacy means any pharmacy that has an agreement to accept our pharmacy allowance for prescription drugs and diabetic equipment/supplies covered under this agreement. All other pharmacies are NON-NETWORK PHARMACIES. The one exception and for the purpose of specialty Prescription Drugs, only specialty pharmacies that have an agreement to accept our pharmacy allowance are network pharmacies and all others pharmacies are non-network pharmacies.

  • Network Upgrades means modifications or additions to transmission-related facilities that are integrated with and support the Transmission Provider’s overall Transmission System for the general benefit of all users of such Transmission System. Network Upgrades shall include:

  • Network Element is As Defined in the Act.

  • Network Service means a Service provided by means of the Network.

  • Network Service User means an entity using Network Transmission Service.

  • Network Interface Device or "NID" is a Network Element (including all of its features, functions and capabilities) that includes any means of Interconnection of End User Customer premises wiring to Qwest's distribution plant, such as a cross connect device used for that purpose. "New Service Provider" means the Party to which an End User Customer switches its local Exchange Service or the Party to which an End User Customer is porting its telephone number(s).

  • Network Customer means an entity receiving transmission service pursuant to the terms of the Transmission Provider’s Network Integration Transmission Service under Tariff, Part III. Network External Designated Transmission Service:

  • Network plan means a policy of group health insurance offered by an insurer under which the financing and delivery of medical care, including items and services paid for as medical care, are provided, in whole or in part, through a defined set of providers under contract with the insurer. The term does not include an arrangement for the financing of premiums.

  • Network Rail means Network Rail Infrastructure Limited, a company registered in England under company number 02904587 and having its registered office at 0 Xxxxxxxxx Xxxxxx, Xxxxxx XX0 0XX;

  • Network Services means the equipment, software, and services necessary to transmit voice, data, or video.

  • Network Operator means the network operator who operates the wireless network of networks to which the SIM Cards are connected.

  • Router means a modem or router provided by us for use by you in connection with the Broadband Service.

  • Network Resource shall have the meaning as provided in the NYISO OATT, for such resources located in New York, and the meaning as provided in the PJM OATT, for such resources located in PJM.

  • BT Network means BT’s public electronic communications network;

  • Digital network means any online-enabled application, software, website or system offered or utilized by a transportation network company that enables the prearrangement of rides with transportation network company drivers.

  • Network Integration Transmission Service means the transmission service provided under Tariff, Part III.

  • Network Transmission Service means transmission service provided pursuant to the rates, terms and conditions set forth in Tariff, Part III, or transmission service comparable to such service that is provided to a Load Serving Entity that is also a Transmission Owner.

  • Switch means a switching device employed by a Carrier within the Public Switched Network. Switch includes but is not limited to End Office Switches, Tandem Switches, Access Tandem Switches, Remote Switching Modules, and Packet Switches. Switches may be employed as a combination of End Office/Tandem Switches. "Switched Access Service" means the offering of transmission and switching services to Interexchange Carriers for the purpose of the origination or termination of telephone toll service. Switched Access Services include: Feature Group A, Feature Group B, Feature Group D, 8XX access, and 900 access and their successors or similar Switched Access Services. "Switched Access Traffic" is traffic that originates at one of the Party's End User Customers and terminates at an IXC Point of Presence, or originates at an IXC Point of Presence and terminates at one of the Party's End User Customers, whether or not the traffic transits the other Party's network.
