The New Administrative Agent shall have received such other documents, agreements or information which may be reasonably required by the New Administrative Agent relating to the existence of the Loan Parties, the corporate authority for and the validity of this Amendment and the transactions contemplated hereby, and any other matters relevant hereto, all in form and substance reasonably satisfactory to the New Administrative Agent.
The New Administrative Agent shall notify the Borrower and the New Lenders of the Amendment Effective Date, and such notice shall be conclusive and binding under the Restated Credit Agreement.
