The Parties agree that COSCIENS shall nominate in its management information circular for re-election at the 2025 Meeting, and solicit proxies on behalf of the election of and recommend to its shareholders that they vote in favour of, each of the six individuals comprising the New Board (and no other nominees) as directors of COSCIENS.
Such Resignations and Releases will be confirmed and ratified by the New Board at the first board meeting of the New Board.
