New Class A Shares definition

New Class A Shares has the meaning specified in Section 2.6(c);
New Class A Shares means the Class A common stock in Reorganized Parent, which will equal 82.5% of the New Equity Interests outstanding as of the Effective Date.
New Class A Shares means the class A ordinary shares of ICLK, par value US$0.001 per share, with the rights and privileges as set forth in the ICLK A&R MAA.

Examples of New Class A Shares in a sentence

  • The New Class A Shares to be issued in the Merger will, when issued in accordance with the provisions of this Agreement, be validly issued, fully paid and nonassessable.

  • Each CIGL Entity has all necessary corporate power and authority to enter into this Agreement and, subject to the receipt of the Requisite CIGL Entity Vote, to consummate the Transactions, including the issuance of the New Class A Shares to the Target Shareholders.
