Examples of New Defects in a sentence
If Seller fails to provide a Seller’s Response Notice, Seller shall be deemed to have delivered a Seller’s Response Notice electing not to cure and remove any New Defects or Disclosed Exceptions identified by Purchaser in the applicable Defect Notice.
If Purchaser fails to issue a notice of objection with respect to New Defects by or before the expiration of the aforementioned two (2) business day period, then Purchaser shall be deemed to have approved said New Defects, which New Defects shall thereafter be Permitted Exceptions.
If Purchaser delivers a written notice of objection to New Defects within the time and manner required herein, then Seller and Purchaser shall follow the same process and have the same rights set forth applicable to a notice of objection to the Title Report issued before the Title Exam Deadline, and the applicable Closing Date shall be extended as reasonably necessary to accommodate that process.
In the event Seller does not provide written notice to the Buyer within ten (10) days of receipt of the Buyer’s Notice of those Title Objections that it is unwilling or unable to cure any Title Objections or New Defects, then Seller shall be deemed to have elected to cure such Title Objections or New Defects.
Any exceptions to title (other than the Existing Permitted Exceptions and the Disclosed Exceptions) that arise between the effective date of the Title Commitment or the Updated Survey, as the case may be, and the Closing are referred to herein as “New Defects.” Purchaser shall have five (5) business days after its receipt of written notice or updated title evidence reflecting any New Defects within which to notify Seller in writing of any such New Defects to which Purchaser objects.
Buyer shall deliver any Title Objection Notice as to New Defects two (2) business days after notice of a New Defect.
Parent and/or the Company may notify RRM in writing of any objections to the New Defects within ten (10) days of receipt of notice of the New Defects and documentation relating thereto (“New Defects Objection”).
In the event any exceptions or defects appear in the Final Commitment that were not contained in the Original Commitment (the “New Defects”), the Buyer shall notify the Seller in writing within three (3) days after Buyer's receipt of the Final Commitment which New Defects are unacceptable to Buyer.
If Seller does not respond within such five (5) day period, Seller shall be deemed to have elected to cure such New Defects.
If any additional exceptions to ------- title or Survey matters ("New Defects") arise between the date of the Title ----------- Commitment or the Survey, and the Closing, Purchaser shall have five (5) business days after its receipt of notice of same within which to notify Seller of any such New Defect to which Purchaser objects.
